End User License Agreement
The terms that govern the use of SKU Central services and software.
This End User License Agreement (“Agreement”) is a legal agreement between you and SKU Central. By accessing or using our products and services, you agree to be bound by the terms of this Agreement.
License Grant
Subject to your compliance with this Agreement and any applicable order forms, SKU Central grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
Restrictions
No resale, distribution, or sublicensing without prior written consent.
No reverse engineering, decompilation, or disassembly of the Services.
No use in violation of applicable laws or third-party rights.
Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Intellectual Property
SKU Central retains all right, title, and interest in and to the Services, including all related intellectual property rights. No rights are granted to you other than as expressly set forth in this Agreement.
Warranty Disclaimer
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. SKU Central disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, in no event will SKU Central be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.
Term and Termination
This Agreement remains in effect until terminated. SKU Central may suspend or terminate your access to the Services at any time if you violate this Agreement.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
